Recall Reput Terms: (If Applicable)	Recall Due to Force Majeure: Upon receipt of Seller’s notice of Force Majeure given under Section 11 of the Base Contract, Buyer may recall the capacity subject to the Force Majeure for the duration of the Force Majeure event. Upon receipt of Seller’s notice that the Force Majeure event has ended, Buyer will re-release the recalled capacity to Seller for the timely cycle of the next Intercontinental Exchange Inc. (“ICE”) Gas Trading day, subject to the capacity release deadlines of Southern Pine’s tariff. In the event Buyer recalls the capacity due to Force Majeure and Seller has injected gas into storage on its own behalf, Buyer agrees to purchase that gas as an in-ground transfer from Seller at the Platts Gas Daily Transco Zone 4 price published for the recall date. Upon re-release of the recalled capacity, Buyer agrees to sell any gas purchased from Seller as described above, as an in-ground transfer at the previously transacted upon price. Recall Due to Default/Early Termination: In the event of an uncured default by Seller under the Base Contract or this Transaction Confirmation, or a termination of the Base Contract or this Transaction Confirmation as provided by the respective terms and conditions, the released capacity shall revert to Buyer with no further obligation on its part. In such an event, and if Seller has injected gas into storage on its own behalf, Buyer agrees to purchase that gas as an in-ground transfer from Seller at the Platts Gas Daily Transco Zone 4 price published for the recall date. In the event that Buyer recalls any portion of the released capacity, or the capacity under the Released Agreements is otherwise recalled, Seller’s obligation to deliver gas and provide services under this Transaction Confirmation shall be deemed reduced accordingly during the period of such recall or reduction. Penalties and Damages: Seller shall be responsible for penalties, keep-whole payments, imbalance charges, cost of replacement energy or other damages incurred by Buyer due to Seller’s failure to accept Buyer’s injection quantities or failure to delivery Buyer’s withdrawal quantities at the designated interconnection.

Withdrawal $0.01/MMBtu Injection $0.01/MMBtu ACA As designated by FERC Wheeling services will require a separate Southern Pines Hub Service agreement. Reimbursement of Southern Pines Fuel Buyer’s injection quantities shall be reduced by 1.5% as reimbursement for injection fuel retained by Southern Pine.
